Don't have room for CB under rack due to Tail light..Thinking CB putting in trunk. Any problens with that?? Does CB module need a ground?

No, the case doesn't need an independent ground.

Worked like a champ, was able to squeeze it in under truck even with tailight in there.. Now does any body have the CB user manual?? Scanned or is it online somewhere??

I cut the divider out of my I/S' battery box and mounted its CB in the space, using a pair of fitted, closed-cell foam wedges to hold it in place. The transceiver is tilted front-to-back and is mounted with the wires exiting the unit towards the left. Has worked well for 8 years now.

Mine is OEM radio and it came with original mounting bracket that bolts under trunk.. About a 1/2 hour install..
